Investors subscribed to newly issued shares and warrants of the company with 2,380 bitcoins. Based on an agreed reference price of $65,000 per BTC, the transaction size is approximately $154.7 million. According to a 6-K filing submitted by Zhibao Technology to the U.S. Securities and Exchange Commission (SEC), investors transferred all 2,380 BTC to the company's designated wallet at the time of the transaction's closing. In exchange, the company issued 442 million PIPE units, priced at $0.35 each, with each unit consisting of one share of Class A common stock and one warrant, which has an exercise price of $0.35 and is valid for two years. Zhibao Technology stated that it will use Bitcoin as a reserve asset to support daily operations, business expansion, research and development, and AI-related applications.
